Any member of the Society may propose an amendment to these Bylaws. Such proposals shall be submitted in writing to the Executive Director and Secretary-Treasurer together with rationale for the change. The Council may accept or reject such proposals. Upon acceptance by the Council, proposals to amend the Bylaws must be mailed to all voting members of the Society in sufficient time to allow at least 45 days for their vote thereon. Acceptance or rejections shall be determined by simple majority of those voting.
